1. Research for informational purposes only
The platform, investment previews, ratings, scorecards, and reports are provided solely for general informational and research purposes. They are not intended to be used as the basis for an investment decision and are not investment, securities, legal, tax, or other professional advice. Sequoia Research does not endorse, recommend, approve, or determine the suitability of any investment, offering, sponsor, or investment professional. Inclusion on the platform, a rating, or a report purchase is not an offer to sell or a solicitation to buy securities.
2. Your independent review and professional advice
Before considering an investment, read and understand the current Private Placement Memorandum (PPM), supplements, subscription documents, financial information, risk disclosures, and other official offering materials. Consult a registered investment adviser or other appropriately licensed investment professional, as well as legal and tax advisers as appropriate. Our research does not replace those documents, your own investigation, or professional advice. Investments involve risk, including loss of principal, and neither past performance nor a rating guarantees future results.
3. Your account and confirmations
You must provide accurate registration information, keep your login credentials confidential, and refrain from sharing your account. An accredited investor confirmation is your own representation; it is not a determination or verification by Sequoia Research and does not establish that an investment is suitable for you. Any separate verification required for an offering remains the responsibility of the relevant parties.
Each opening or reload of a purchased report requires a fresh acknowledgment of the reader disclosures before report pages are provided. We record the account identity, connection IP address, report, disclosure text and version, and acknowledgment date and time for that visit.
4. Purchase of access; no ownership or downloadable copy
A report purchase grants a limited, personal, non-exclusive, non-transferable, revocable license to view the specified report through your Sequoia Research account while access remains available under these Terms. You do not purchase ownership of the report, your own PDF copy, a right to download it, or an unconditional right to permanent access. All intellectual property rights remain with Sequoia Research or the applicable rights holder. Each purchase covers only the specific report version and price shown at checkout; other reports, future editions, and subscriptions are not included. After payment is verified, access is added to My Purchased Reports in your profile.
5. Prohibited copying, printing, and distribution
Except to the extent a restriction is prohibited by applicable law, you may not print, download, save, copy, screenshot, record, reproduce, scan, transcribe, redistribute, publish, sell, sublicense, share, or otherwise provide any report or substantial portion of it to another person. You may not share login credentials, bypass access controls, remove watermarks, or use automated tools to extract reports. Business use, redistribution, or use by a securities professional for clients or colleagues requires a separate written license.
Report pages may display personal watermarks containing your name, account email address, connection IP address, date and time of access, and a reader-session reference. Reader links are personal, expire, and may stop working when a new session is opened or your connection changes.
6. Suspension, removal, and forfeiture
Unauthorized reproduction, copying, sharing, or other violation of these Terms may result in immediate suspension or removal from the platform and termination of access to purchased reports. To the fullest extent permitted by law, such termination results in forfeiture of the affected access licenses and amounts paid, without refund. Sequoia Research reserves other available legal remedies. This provision does not eliminate remedies that applicable law requires.
7. Final sales; refunds and payment disputes
Subject to non-waivable legal rights, all report-access purchases are final. Sequoia Research does not voluntarily provide refunds, returns, exchanges, credits, or cancellations because a purchaser changes their mind, disagrees with research, fails to use access, or loses access under these Terms. You agree not to initiate an improper or fraudulent chargeback to avoid a valid purchase. Nothing in this policy prevents a good-faith billing-error dispute or limits rights provided by applicable consumer-protection law, payment-network rules, or your card issuer.
8. Removal of documents after purchase
Sequoia Research may restrict, replace, suspend, or permanently remove a report, including after purchase, when it determines that legal, regulatory, compliance, intellectual-property, accuracy, or similar concerns require or justify that action. We do not guarantee that a report will remain available indefinitely. Except where applicable law requires otherwise, removal under this provision does not entitle you to a refund or replacement document.
9. No warranties; release and waiver of claims
To the fullest extent permitted by law, the platform and research are provided “as is” and “as available,” without warranties of accuracy, completeness, timeliness, fitness for a particular purpose, or uninterrupted access. You acknowledge that research may contain errors or become outdated and that you remain responsible for your decisions.
To the fullest extent permitted by applicable law, you release Sequoia Research, LLC and its officers, employees, and agents from claims arising from your use of or reliance on the platform or research, and agree not to bring a lawsuit asserting claims validly released by this paragraph. No waiver or release applies to fraud, willful misconduct, liability that cannot lawfully be excluded, or rights and remedies that cannot legally be waived, including applicable securities-law and consumer-protection rights. These Terms do not establish an arbitration agreement or select a court or governing jurisdiction.
10. Changes, notices, and rights that remain protected
Material changes to these Terms should be presented with appropriate notice and any legally required acceptance. If a provision is unenforceable, it applies only to the extent permitted by law, and the remaining provisions continue to apply. Nothing here prohibits reporting concerns to regulators, cooperating with investigations, making lawful disclosures, or exercising other protected rights.
