Delaware Statutory Trust 1031 Reviews: Offering Identity Cross-Check

Users enter names and identifiers from the review, PPM, subscription documents, and professional-confirmed transaction records. The tool flags mismatches for human resolution rather than deciding which document is legally controlling.

For an export, select Download in the tool, then Save file when it appears below. Your entries stay in your browser.

What Is This Article About?

This tool compares the offering identity details entered from four document roles in a proposed DST exchange. It looks at a research review, private placement memorandum (PPM), subscription document, and professionally confirmed transaction record. It flags different text and missing values while keeping each source visible. It does not decide which document controls, confirm legal identity, or approve a 1031 exchange.

What the Offering Identity Cross-Check Does

A review is useful only if it concerns the interest you plan to buy. Similar offering names can make a file look consistent even when one document refers to a different issuer or class. A copied identifier can create the same problem. This tool puts the entered identity text beside its source so a person can investigate.

It compares four fields: the issuer or trust's legal name, an offering identifier, a property description, and the interest or class. Each field gets its own result. The tool also lists which included document roles have no value for that field.

The result is a text check. It does not search government records, read a PDF, authenticate a signature, or detect which file is newest. You supply the source references and the text to compare. The tool does not merge legal entities or correct a document on your behalf.

FINRA's private-placement notice discusses investigating claims and following up on incomplete or conflicting reports. It addresses duties of covered firms. This cross-check can help organize questions, but completing it does not show that those duties have been met. FINRA Regulatory Notice 23-08, May 9, 2023.

Set the Scope Before Entering Documents

Start with one proposed offering interest. Write enough detail in the scope box to explain what you are trying to match. For example, you might be checking a named trust and one class within it. Do not combine unrelated replacement properties and expect the tool to decide which names should match.

Choose one identifier system for this comparison. An internal offering code, a securities filing number, and a property parcel number are different kinds of identifiers. They must not be placed in the same comparison column merely because each looks official.

If one document does not contain the chosen identifier, leave that value blank. Record another kind of identifier in the source note if it helps your research. Do not present it as an equivalent value unless the records and a qualified person establish that relationship.

Avoid personal account numbers, Social Security numbers, and other taxpayer identifiers. This is a check of the offering's identity. It does not need private investor details. A downloaded file may later be shared with other people, so include only what they need to trace the offering records.

The common scope is an assumption you supply. The software cannot prove that the chosen sources concern the same proposed purchase.

Use the Four Document Roles Carefully

There are four fixed document slots. Include at least two to run the comparison. Each included slot needs a source title, a reference or page description, and a document date.

Role What to enter
Research review The report whose conclusions you may rely on
Private placement memorandum The selected PPM or clearly described version
Subscription document The purchase document being checked
Professionally confirmed transaction record A relevant record with the confirmation details you supply

A slot is a role in this comparison, not a claim that the document is genuine or controlling. One underlying source may be quoted by more than one document. Matching text in those roles therefore does not prove that two independent people verified it.

Use the source reference to identify the exact page, section, or record. “Offering documents” is too broad to help someone resolve a difference. If several pages support an entry, describe them and explain any limits.

A role that is not included is listed separately from blank fields within an included role. These are different gaps. You may have a PPM with no chosen offering code, or you may not have a PPM at all. The output preserves that distinction.

Unchecking a role retains its fields on the page and in exports. It removes that role from the comparison. This makes it possible to explain why a document was excluded without losing the entered text.

Enter Four Identity Fields

Use the text from each source, including details that may look minor. A Roman numeral, series number, class, or street unit can distinguish one interest from another.

The issuer field should identify the trust or issuer discussed in that source. Do not replace it with the sponsor's brand for convenience. If a review gives only the sponsor name, explain the gap and leave the issuer field blank rather than treating the brand as the issuer.

The offering identifier must use the common system stated at the top. Preserve leading zeros, punctuation, letter case, and internal spaces. This tool deliberately treats those characters as meaningful for identifiers. It does not know which identifier systems permit alternate formats.

The property field is a description, not an address-validation service. It can contain a street address or another clear description appropriate to the source. If an offering has several properties, use a defined scope and an accurate description. The tool does not check a multi-property list for omissions.

The class field should describe the interest being compared. A blank entry is unknown, not proof that there is only one class. Do not substitute an assumption that all investors receive the same rights.

Each field has a text-length limit. The tool is designed for concise identity details and references, not entire documents. Keep the underlying records separately.

Understand Text Matching and Missing Values

Names, property descriptions, and classes ignore outer spaces, repeated whitespace, and letter case. Thus Riverbend DST and riverbend dst produce the same comparison text. The original text still appears in the result and export.

Offering identifiers use a stricter rule. Only outer whitespace is ignored. RB-204 and rb-204 remain different. So do 0042 and 42. This may flag a harmless formatting difference, but the tool will not assume that it is harmless.

It does not remove punctuation, expand abbreviations, standardize addresses, resolve aliases, or link affiliates. Class A and ClassA remain different. 12 Willow Way and 12 Willow Wy. also remain different. A person must decide what those differences mean.

Each field receives one of four labels:

Result What it means
No entered values Every included role is blank for this field
One source only Just one included role has a nonblank value
Same comparison text At least two included roles have values, and all entered values match under the stated rule
Different comparison text At least two distinct comparison values are present

Missing values remain visible beside the label. “Same comparison text” can therefore appear with a missing field in another role. It does not mean the full document set agrees, that the information is correct, or that the documents concern the same legal interest.

Follow the Fictional Riverbend Example

The example contains four invented document records for an invented Riverbend DST Class A interest. None is a real PPM, subscription, review, or professional confirmation. The dates and source notes are also invented.

Three records say “Invented Riverbend DST.” The subscription record says “Invented Riverbend II DST.” The issuer field therefore has four entered values and two distinct comparison values. It receives the label “Different comparison text.” The tool does not decide whether the extra “II” is a typo or evidence of another issuer.

The offering-code field has the same pattern. The review, PPM, and transaction record show RB-204. The subscription shows RB-205. Again, there are two distinct values across four included roles. That difference remains visible even though three records agree.

For property description, the first three records show 12 Willow Way, while the transaction record is blank. The result is “Same comparison text,” based on three entered values, with one missing role. It does not fill the blank from the other documents.

For class, only the PPM and subscription contain Class A. The result again shows the same comparison text, this time with two entered and two missing values.

These four results do not produce an overall pass score. The example has two fields with differing text and two with matching entered text. The missing property and class values still require attention. A majority of matching names cannot settle a conflicting subscription document.

Keep Professional Confirmation Within Its Scope

The transaction-record slot requires three extra details when included: the confirming professional or role, the confirmation date, and a reference to that confirmation. These are user-entered claims. The tool does not contact the person or verify that the confirmation occurred.

Describe the scope accurately. A confirmation that a record shows a certain name is not necessarily a conclusion that an exchange qualifies. A confirmation of the class does not resolve a debt question. Keep the actual written response with the file so another reviewer can see what was addressed.

The confirmation date must be on or after that record's document date and no later than the review cutoff. This is a consistency check for this tool's chosen record structure. It is not a rule about when legal advice must be given.

If you do not have confirmation details, leave that role excluded. Do not invent a professional name or copy a date from an unrelated email merely to complete the form. The other included roles can still be compared if at least two are present.

Record a Human Explanation Without Hiding a Difference

Each identity field has a separate follow-up note. You may leave its state as Open, change it to Explanation recorded, or mark Further review needed. The latter two states require a note, supporting reference, and date.

The note should describe what was learned. For Riverbend, a useful next step might be to ask whether the subscription came from the wrong file. A later response could identify a corrected subscription and the person who checked it. The tool does not decide whether that response is sufficient.

An explanation never changes the text comparison. If the entered names still differ, the result still says they differ. This prevents a manually chosen status from hiding the fact that needs explanation.

If a corrected document replaces the prior one in your comparison, export the earlier review first. Then enter the corrected source and its actual text. State why you changed it. The tool has no version history and cannot prove what an earlier file contained unless you preserve it separately.

Do not use a follow-up status as a funding or tax approval. It is a record of your research process. An open question may require a different professional from the person who supplied the first explanation.

Check Document Dates and Review Cutoffs

The cutoff sets the latest date included in the review. It cannot be later than the current date in UTC. Every included document date must be a real date on or before that cutoff. Any entered follow-up date must also be no later than the cutoff.

A document's date is different from the day you downloaded it. If the page has several dates, make the choice clear in the source reference. Do not give an older record a new date because it appeared in a recent email.

Excluded document fields are retained as text but are not date-validated or compared. If you include that role again, its required fields and dates must pass the checks. Keeping an excluded record in an export does not turn it into accepted evidence.

A recent date does not establish priority. A later review could quote an older PPM, and a later file could concern a different interest. The tool checks entered dates; it does not determine which version changes a contract.

Use the Results Before Relying on a Review

Start with the fields showing different text. Open the actual sources and check that the text was copied correctly. Then ask the appropriate person to explain any real difference. Record whether the response concerns a typo, an alias, another issuer, a class change, or something still unresolved.

Next inspect missing roles and values. They may prevent you from connecting a review to the actual purchase. Matching two documents does not supply the absent subscription or the professional confirmation you may need.

IRS Form 8824 instructions describe written identification requirements, including a clear and recognizable description of replacement property. This tool does not test whether a particular identification satisfies those requirements. It also does not calculate deadlines, test the identification limits, or send a notice. IRS Form 8824 instructions, 2025 edition, line 5.

The SEC notes that private-placement information may be limited and that a PPM generally is not reviewed by a regulator. Consistent names across documents therefore do not amount to regulatory approval or a complete investment review. SEC private-placement bulletin, updated September 21, 2026.

Export and Preserve the Whole Comparison

Compare the entered text before downloading. Any change to the form clears prior results and disables exports until you compare again. A rejected comparison leaves the entered fields in place for repair. Loading the example or starting a new review requires an on-page confirmation. Editing the form cancels a pending replacement.

The display filter shows one identity field or all four. Both JSON and text downloads still contain the whole comparison, all four document slots, and all follow-up notes. Excluded text remains in those files. Review it before sharing, especially if you entered details you no longer want to distribute.

The full input is limited to 60,000 UTF-8 bytes. Each download is limited to one MiB. Some characters require several bytes, so a character count alone does not measure those limits.

There is no automatic saving, upload, import, or account connection. Download the review before leaving the page. Preserve the source documents separately and use the output as a guide to the remaining questions.

FAQ

Does Matching Text Prove That Two Documents Describe the Same DST?

No. It shows only that the entered field values match under the tool's stated rules. The sources could share the same error or quote one another. Legal identity, document authenticity, and the interest actually purchased still require the relevant records and professional review.

Why Are Offering Identifiers Compared More Strictly Than Names?

The software does not know whether a particular identifier system ignores case, spaces, or leading zeros. It removes only outer whitespace. This preserves potentially meaningful characters. A person can explain a harmless difference without causing the tool to silently merge values that may be distinct.

What Happens When a Field Is Blank?

It remains missing. The tool does not copy a value from another document or treat blank as agreement. A field can show matching entered text while also listing one or more included roles with no value. Excluded document roles are listed separately.

Does the Transaction Slot Verify Professional Advice?

No. It requires confirmation details that you enter, then checks their basic date order. It does not contact a professional, inspect an engagement, or judge the advice. Preserve the actual confirmation and describe its scope accurately.

Can a Follow-Up Note Close a Text Difference?

It can record an explanation, but it cannot remove the comparison flag. The flag changes only when the underlying entered values change. Keep earlier exports when replacing a document so the explanation and the prior discrepancy remain available outside this tool.

Is This a 1031 Identification or Qualification Check?

No. It organizes offering identity text across selected records. It does not confirm tax treatment, legal priority, deadlines, or the validity of a property identification. Use it to prepare precise questions for the people handling the proposed exchange.
