DST Brokers: Material-Update Acknowledgment Log
Material-Update Acknowledgment Log
Users record received updates, document versions, affected decisions, and follow-up responses. The log makes the review history traceable without assuming that receipt of a notice resolves every issue.
For an export, select Download in the tool, then Save file when it appears below. Your entries stay in your browser.
What Is This Article About?
This tool helps you track revised notices and open questions about a Delaware statutory trust, or DST, investment. You enter the document version, what changed, and the decision that may need another look. Reading a notice, acknowledging its receipt, and reviewing an answer are recorded separately. Earlier entries stay in the log when a new version arrives. The tool organizes your notes without reading documents, sending messages, or approving an investment.

Why DST Updates Need More Than a Receipt Check
A new notice can change the facts behind an earlier answer. The message may concern debt, cash payments, a property issue, or a reporting route. Seeing it in a folder does not tell you whether the right person read it or considered its effect on a decision.
This log separates those tasks. It connects each notice version to a topic and a stated decision. It then records your account of reading, acknowledgment, and question review. You can see what is entered for the latest version while retaining the history behind it.
The Financial Industry Regulatory Authority, or FINRA, discusses new material developments during an offering in its private-placement guidance. It also describes primary-document work and updated due-diligence files for covered firms. That guidance supports careful attention to changed facts. This original tool is not a regulator's checklist and does not establish that a firm met its duties. FINRA Regulatory Notice 23-08, May 9, 2023.
You decide which notices belong in the log. The software cannot discover a missing supplement or judge whether a change is material. “Material” in its name describes the purpose of the review, not a legal finding made by the page. Ask the appropriate professional when the effect of a change is unclear.
Set One Holding and Decision Scope
Begin with a log title, one holding and class, a decision scope, and a review cutoff. Use a non-sensitive description. Account numbers, tax identifiers, passwords, and private personal details do not belong here. A role such as “investor” or “reviewer” is enough for the examples.
The scope explains what you are trying to understand. It might concern a revised cost model or the location of a first report. Avoid a broad label such as “everything about the investment.” A focused scope helps the reader see what the log covers and what still needs separate work.
The title, holding, and scope lock after the first notice is saved. This prevents an old set of checks from moving into a different holding through a simple rename. If the identity is wrong, export any history worth keeping and use the confirmed Start new log action. The software does not merge logs or move records between them.
The review cutoff can change if all saved dates still fit. It cannot be after today's date in UTC. Moving the cutoff forward does not repeat a check or refresh a source. Moving it behind a saved receipt or status date is rejected, leaving the saved record intact.
Record the Notice Topic and Exact Version
A topic groups versions of the same update. For example, “Debt terms” may have an initial notice and a correction. The version label identifies the particular record. Do not use the topic name as a substitute for the document's version or date.
Choose New topic for the first version. For a correction or later notice in the same chain, choose the existing topic. The tool links the new version to that topic's previous version. It does not inspect the documents to establish that one replaces another. Your change summary should explain the relationship supported by the source.
Each version needs a label, source reference, received date, change summary, and affected decision or unresolved scope. Its issue date can remain blank when unknown. If you enter an issue date, it cannot follow the received date. Use the issue date of the notice, not a future date when a lease or other term takes effect.
Topic names must be distinct after case and extra spaces are ignored. Version labels must be distinct within the same topic. A saved version cannot be edited or deleted. Add a clear corrective version when needed, or start a new log for an identity error. The limits are eight topics and twenty-four notice versions in total, including older versions.
Keep Reading and Acknowledgment Separate
A reading record is your statement that a role read the identified version. Choose Recorded and enter the date, role, and reference for that statement. The tool cannot observe what was read or how well it was understood. A short reference to the relevant work note is more useful than a broad claim that everything was checked.
An acknowledgment is a separate record. It might refer to a reply saying the notice arrived. It requires its own date, role, and reference. It can be recorded before a reading record exists, because a receipt reply need not mean the recipient read the document.
Neither check grants consent or accepts changed terms. If an actual form asks for a signature or approval, review that form and its consequences separately. Do not use a status in this log to decide whether a legal acknowledgment or consent requirement has been met.
Not recorded means the log lacks that check. It does not mean the action never happened. Leave the associated date, role, and reference blank in that state. Nor does an absent acknowledgment prove that one was required. Confirm the actual process with the parties responsible for it.
Track a Specific Question Through Its Review
The question state addresses one defined question for the current version. It does not summarize every issue in the investment. Choose wording narrow enough that a response can address it, such as which cost input changed or where a named report should appear.
Not assessed means no question-work record has been entered. Keep the question fields blank and use the tracking note to explain the limit. Question open names the issue while leaving request, response, and review fields blank. An open question can exist before you know which role will handle it.
Request recorded needs the question, responsible follow-up role, request date, and reference. This records your statement that a request was made; the tool sends nothing. A saved request does not establish that the recipient received it or accepted responsibility for answering.
Response recorded needs the question, role, response date, source reference, and summary. A request reference is optional at this stage because a useful response could have arrived without a separately recorded request. If you enter the request date, enter its reference too. A response cannot be dated before its recorded request.
Review recorded adds a review date and a decision note to the response record. Explain what the answer means for the stated question and what action remains. The label does not mean the whole investment is approved. It does not independently verify the reviewer's qualifications, the source, or the conclusion.
A tracking note is required for every saved status snapshot. Use it to explain what changed or why a state was chosen. Reading and acknowledgment can remain unrecorded even when a question response exists. The log keeps these facts separate instead of forcing them into one completion box.
Preserve the History When Facts Change
Appending a notice version creates a fresh set of checks for that version. It does not copy reading, acknowledgment, or question-review states from the old notice. The old version and its snapshots remain in the full export, but they no longer drive that topic's current counts.
That reset is deliberate. A reviewed answer about version one may be useful history without answering a correction in version two. Read the changed material and decide which work needs to be repeated. The software cannot make that judgment from the fact that two notices have similar titles.
Within the same version, you can load its latest status, change the fields, and append a new snapshot. The old snapshot remains unchanged. A later snapshot can reopen a question or correct a mistaken check. State the reason in the tracking note and clear fields that no longer match the selected state.
There is no removal button for saved history. The log allows seventy-two status snapshots in total. A snapshot can be added only to a topic's current version. To discuss an older answer after a new notice arrives, refer to that answer in a new snapshot for the current version and explain its limited relevance.
Follow the Fictional Bracken Example
Load the example to see two invented topics and three notice versions. No actual document, investor, or service response is represented. The example has a debt update followed by a correction, plus a separate reporting-access notice.
The first debt notice, version V1, arrives October 10, 2026. Its saved snapshot records acknowledgment on that date, reading on October 11, and question review on October 12. The review note says a model needs revision. It does not approve the investment or confirm that the model was changed.
The second debt notice, V2, arrives October 14. Its snapshot records a receipt acknowledgment and an open question. There is no reading record. V1's reading and review remain in the history, but neither carries into V2. The current debt topic therefore shows a question open and reading not recorded.
The access notice, V3, belongs to the second topic. It has a reading record and a response about the reporting route. No acknowledgment is entered, and the response has not yet received a review record. The answer says a route was supplied; it does not claim that anyone tested access.
The example has two current notice versions, one prior version, and three status snapshots. One current version lacks a reading record. One lacks an acknowledgment. One question is open, and one response awaits review. There are no current question reviews recorded, even though the old debt version contains one.
Read the Current Counts Without Treating Them as Scores
Prepare update log to build the current view. Each topic contributes its latest saved version. For that version, the latest saved status snapshot supplies the checks. If no snapshot exists, reading and acknowledgment are Not recorded and the question is Not assessed.
The counts can overlap. A version can lack a reading record and have an open question at the same time. Adding those two counts would double-count that version. The total is not a measure of how much research remains or how much risk the investment carries.
A record with a review note can still contain a decision to wait, seek more evidence, or decline a proposed action. Read the actual note. The software checks that required fields exist and that dates fit. It cannot judge whether the answer was adequate or whether the conclusion follows from it.
The Securities and Exchange Commission, or SEC, warns that private-placement disclosure can be limited. A completed-looking log does not fill gaps in the actual information available. Keep those gaps visible and seek the underlying records needed for the decision. SEC private-placement bulletin, updated September 21, 2026.
Use Dates and Source References Carefully
Dates describe the event named beside the field. A document issue date differs from receipt, reading, acknowledgment, response, and review. A source that takes effect next month can be received today. Use the change summary for that future effective date rather than entering it as the notice's issue date.
A received date cannot follow the review cutoff or precede the prior received date for the same topic. Status dates must fall between that version's receipt and the snapshot's entry date. The entry date cannot move backward between snapshots for the same version. A question review cannot precede its response.
These rules organize an entered sequence; they do not prove when an event happened. If your actual history does not fit, do not change facts just to satisfy the form. Keep the original evidence outside the tool and use a separate log or professional review to explain the discrepancy.
Source references are plain text. They are not fetched, authenticated, or tested. Keep a private document in its authorized location and enter a short locator here. Do not paste full confidential messages or assume that an exported reference gives another person permission to open the underlying file.
Save and Share a Complete Local Export
Any input change clears the prior result and disables its downloads. Save or clear pending notice and status fields before preparing again. A failed save leaves existing records unchanged. The message explains the field that needs attention; the old report does not silently remain available as a current one.
Both downloads contain the complete saved log: scope, current counts, current versions, all earlier versions, and all status snapshots. The text file is meant for reading; the JSON file preserves named data fields. Neither contains the underlying documents. No import function is provided, so keep the original evidence and useful exports separately.
The page keeps records only in its current memory. Closing or reloading it loses that work. It sends no messages, makes no network requests, and creates no reminders. The tool limits the saved record to 80,000 UTF-8 bytes and each full export to 190,000 bytes. Individual fields also enforce their own length limits.
If you share an export with a professional, agree on the requested work and handling method first. The SEC's Form CRS guide explains that the services received depend on the actual broker or adviser agreement. Sending a log does not itself create a monitoring agreement or establish that anyone accepted the task. SEC guide to relationship summaries.
FAQ
Does acknowledgment mean I accepted changed investment terms?
No. This tool records your description of an acknowledgment. It does not inspect a signed form, determine consent, or interpret legal effect. Review any actual acceptance requirement and its consequences with the appropriate professional.
Why does a new notice version lose the earlier checks?
The earlier checks concern a different version. They remain in the history, but the current version starts without them. This prevents a prior reading record or answer from appearing to cover changed material automatically.
Can I record acknowledgment before reading?
Yes. The two checks have separate dates, roles, and references. A receipt reply can precede a later reading. Neither state automatically creates the other, and the software does not verify that either event occurred.
Can a reviewed question be reopened?
Yes. Load the latest status for the current version and append an open-question snapshot with a reason. Clear response and review fields that do not belong to the new state. The earlier snapshot remains in the full history.
Can I edit an earlier notice or status snapshot?
Saved records are append-only. Add a corrected notice version or another status snapshot for the current version. For a wrong holding or fixed topic identity, export the history and start a new log. Do not silently relabel old work.
Does the tool tell my broker that a notice needs attention?
No. It sends nothing and offers no reminders. You must use the agreed communication process outside the tool. A request record is your note about that process, not proof of delivery or a response deadline.
Does a log with no open questions mean the investment is ready?
No. You may have entered an incomplete set of notices or questions. Required fields and orderly dates do not prove sufficient evidence or a sound decision. Review the actual records, the stated scope, and any remaining uncertainty.
